EPC Choice Limited – Terms and Conditions
1. Definitions
- “EPC Choice Limited” (“the Agent”, “we”, “us”) means the company acting as a Disclosed Agent between the Service Provider and the Customer.
- “Disclosed Agent” means an agent acting on behalf of the Service Provider, with this fact disclosed to the Customer.
- “Service Provider” means a person or entity providing services to a Customer introduced by the Agent.
- “Customer” means the person or entity to whom the Service Provider provides services.
- “Services” means all services provided by the Service Provider, facilitated by the Agent and to include certificates or any documents generated as a result of the service provision.
- “Agreement” or “Terms” means these Terms and Conditions.
2. Scope of Agreement
The Agent’s role is limited to introducing the Customer to a Service Provider, administering bookings, and collecting payments on behalf of the Service Provider. The actual Services are provided solely by the Service Provider, who remains directly responsible to the Customer.
3. Contractual Relationships
- Customer - Service Provider: The contract for provision of Services exists between the Customer and the Service Provider.
- Agent - Customer: The Agent is responsible only for administration and payment collection.
- Agent - Service Provider: The Agent coordinates with the Service Provider to facilitate Service provision and remits payments minus agreed commission.
4. Non-Circumvention
The Customer and the Service Provider each agree not to circumvent EPC Choice Limited’s role as the Disclosed Agent by entering direct arrangements or avoiding payment of fees. Any breach entitles EPC Choice Limited to recover equivalent fees or commissions plus legal remedies.
5. Fees and Payment
- The Customer agrees the Agent may collect payment for the Services on behalf of the Service Provider.
- Unless otherwise agreed, payment is due upon completion of the Service and shall not be released until payment is received in full.
- The Agent will remit payment to the Service Provider after deduction of its fees.
- All fees are in GBP (£) and inclusive/exclusive of VAT as indicated.
- Late payments accrue interest at 4% above the Bank of England base rate, compounded monthly.
6. Customer Responsibilities
- Provide accurate and complete information to enable the Service Provider to perform the Services.
- Where amendments are required due to inaccurate information, the Agent may charge a £30 administration fee.
- Ensure safe and timely access to the premises for the Service Provider.
7. Service Provider Obligations
- Perform Services with due skill, care, and diligence according to laws and industry standards.
- Maintain appropriate professional insurance cover.
8. Cancellations, Rescheduling & No-Shows
- Rescheduling a Service appointment is free of charge where the Customer provides more than 24 hours’ notice prior to the scheduled appointment time.
- Where the Customer reschedules a Service appointment within 24 hours of the scheduled appointment time, an administration and rescheduling charge of ?30 shall apply.
- Where the Customer cancels a Service appointment within 24 hours of the scheduled appointment time, 100% of the agreed Service fee shall be payable and is non-refundable.
- Where the Customer fails to attend the appointment, is unavailable, or does not provide access at the scheduled time (“No-Show”), 100% of the agreed Service fee shall be payable.
- Where the Customers tenants or person charges to provide access or specified access arrangements result in the Service Provider not gaining access, 100% of the agreed Service fee shall be payable.
- Prepaid Services are non-refundable in the event of cancellation within 24 hours or a No-Show.
- Where the Service Provider cancels the appointment, the Agent may arrange a replacement Service Provider or reschedule the appointment at no additional cost to the Customer.
- The Agent reserves the right to recover unpaid cancellation, rescheduling, or no-show charges, including through legal or debt-recovery processes.
9. Confidentiality & Data Protection
All parties must maintain confidentiality of exchanged information. The Agent complies with UK GDPR and the Data Protection Act 2018.
10. Liability & Indemnity
- The Agent’s liability is limited to administration, introduction, and payment collection.
- The Service Provider is solely liable for service performance and quality.
- The Customer indemnifies the Agent against claims arising from the Service Provider’s performance.
- The Agent is not liable for loss of profits, indirect losses, or errors from public or third-party data sources.
- Aggregate liability of the Agent is capped at the total fees paid for the relevant Service.
- Nothing excludes liability for death, personal injury, or fraud.
11. Termination
- Either party may terminate with reasonable written notice unless Services are already instructed or completed.
- The Agent may terminate immediately if the Customer breaches these Terms.
12. Consumer Rights
- Consumer rights under the Consumer Rights Act 2015 remain unaffected.
- Services bespoke to a property may not be subject to standard cancellation rights once performed.
13. Dispute Resolution
Disputes shall first be resolved by negotiation in good faith; if unresolved, by mediation or arbitration before court proceedings.
14. Governing Law & Jurisdiction
These Terms are governed by the laws of England and Wales, and parties agree to the exclusive jurisdiction of the English courts.
15. Amendments
- The Agent may amend these Terms with written notice to the Customer and Service Provider.
- Continued use of the Services after notice constitutes acceptance.
16. Entire Agreement
These Terms constitute the entire agreement between the Customer, Service Provider, and Agent and supersede prior understandings. No variation is valid unless confirmed in writing by the Agent.
